These Terms and Conditions ("Terms") govern your access to and use of the novy. website, digital professional identity platform, profiles, applications, subscription services, NFC products and related services ("Services").
The Services are provided by Novy Co., ("novy.", "we", "us" or "our").
By creating an account, purchasing a subscription, purchasing hardware or using the Services, you agree to these Terms.
If you do not agree to these Terms, you must not use the Services.
novy. provides digital professional identity and business presence tools.
Depending on the applicable plan, the Services may allow users to create and manage digital profiles containing information such as:
Features may vary according to the subscription plan purchased.
You must provide accurate information when creating an account.
You must be legally capable of entering into a binding agreement.
If you create an account on behalf of a company, organisation or another person, you confirm that you have the authority to do so.
You are responsible for ensuring that information associated with your account remains accurate and current.
You are responsible for maintaining the confidentiality of your account credentials.
You must notify us promptly if you believe that your account has been accessed without authorisation.
You are responsible for activity occurring through your account unless the activity resulted from circumstances outside your reasonable control and you notified us appropriately.
You may not:
novy. subscriptions are offered on an annual billing basis, unless otherwise expressly stated.
The applicable subscription fee is displayed before purchase.
Where a plan is advertised using a monthly equivalent, that figure is provided for comparison only. The subscription remains an annual purchase.
For example:
R49/month equivalent = R539 billed annually.
Subscription fees may change in the future. Any changes to renewal pricing will be communicated in accordance with applicable law and the terms governing the subscription.
Where automatic renewal is enabled, your subscription may renew for another annual period using the payment method or payment arrangement authorised by you.
We will provide appropriate renewal information and notices as required by applicable law.
Where the CPA applies to the agreement, novy. will comply with the applicable requirements relating to fixed-term agreements, renewal and cancellation. The CPA provides specific rules concerning expiry and continuation of fixed-term consumer agreements.
You can disable automatic renewal or request cancellation through the applicable account or support process.
Cancellation of a subscription does not automatically entitle you to a refund.
Your cancellation rights depend on the applicable law, the type of customer and the circumstances of cancellation.
Nothing in these Terms is intended to limit any consumer right that cannot lawfully be excluded.
Where the CPA applies, consumers may have statutory cancellation rights, including rights relating to fixed-term agreements.

You retain responsibility for the information and content you publish through your novy.Profile.
You grant novy. the limited rights necessary to host, process, display and technically reproduce your content for the purpose of providing the Services.
You must ensure that your content:
You acknowledge that information you intentionally publish through a public novy.Profile may be accessible to members of the public.
You should not publish sensitive personal information that you do not intend to make publicly available.
novy. is not responsible for third parties copying or redistributing information that you intentionally publish publicly, except to the extent required by applicable law.
NFC cards, wristbands and other physical products are separate purchases unless expressly included with a particular offer.
NFC hardware generally functions by directing a compatible device to a digital destination associated with your profile.
The physical product itself does not constitute the digital subscription.
Hardware availability, specifications, colours, materials and manufacturing times may vary.
NFC functionality depends on device compatibility, operating-system behaviour and other factors outside novy's reasonable control.
novy. does not guarantee that every device will support every NFC function.
The novy. brand, trademarks, logos, software, platform design, interface elements, original content and underlying technology are owned by or licensed to novy. and are protected by applicable intellectual property laws.
You may not copy, reproduce, modify, reverse engineer, distribute or commercially exploit novy's intellectual property without written permission, except where permitted by law.
novy. may integrate with or rely upon third-party services, including payment providers, social media platforms, analytics services, hosting providers and communication services.
Third-party services may have their own terms and privacy policies.
novy. is not responsible for changes, outages or limitations imposed by independent third-party providers, except where applicable law provides otherwise.
We aim to keep the Services available and reliable.
However, we do not guarantee uninterrupted or error-free availability.

Where appropriate, we will provide notice and an opportunity to remedy the issue.
Nothing in this section limits statutory rights.
The Services are provided on an "as available" basis.
To the extent permitted by law, novy. does not guarantee that the Services will be uninterrupted, completely error-free or suitable for every particular purpose.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.
To the maximum extent permitted by applicable law, novy. will not be liable for indirect, incidental, special or consequential losses arising from use of the Services.
This does not exclude liability where exclusion is prohibited by law, including applicable consumer protections or liability arising from our own unlawful conduct.
To the extent permitted by law, you agree to indemnify novy. against claims, losses and reasonable costs arising from your unlawful use of the Services, your violation of these Terms, or your infringement of another person's rights.
This clause does not require you to indemnify novy. for losses caused by novy's own unlawful conduct.
We may introduce, modify or discontinue features.
Where a material change negatively affects a paid service, we will provide appropriate notice where required.
We may update these Terms from time to time.
The updated version will be published on the website with a revised "Last Updated" date.

These Terms are governed by the laws of the Republic of South Africa.
Any dispute will be subject to the jurisdiction of the appropriate courts of South Africa, subject to any mandatory consumer rights or alternative dispute-resolution mechanisms available under applicable law.
